1. What this service is

Parsec Labs ("the desk", "we") runs an on-chain trading desk. When you are approved as a client you get a managed account: the desk decides, at its sole discretion, when and how to acquire, trade, hold, and sell tokens and other digital assets in connection with your account.

Your dashboard is a record of what the desk does, written as it happens. It is a ledger of entitlements between you and the desk.

2. Deposits become the desk's capital; the sweep commences the service

You fund the service by sending capital to a single-use deposit address the desk gives you. The desk accepts your engagement, and the service commences, when the desk transfers that capital out of the deposit address into its own wallets (its intake wallet and its treasury). At that transfer, title to the capital passes to the desk.

Capital that has passed to the desk is not held in trust for you, is not segregated, and is not refundable. The desk may hold, move, pool, and deploy it however it sees fit, including through third-party services, exchangers, and intermediaries the desk selects, and the desk bears the loss if it is lost. Capital still sitting in a deposit address that the desk has not swept has not been accepted; the desk may return it or sweep it at its discretion.

Your dashboard shows the amount that has passed to the desk as "capital with the desk", and your feed shows when each launch or trading program commenced against it. Those figures are a record of the engagement, not a balance you can withdraw.

3. What you can withdraw: realized proceeds

Your entitlement is limited to realized proceeds: the amount your dashboard shows as withdrawable, which is the net proceeds of sales booked to your account after fees, less anything already paid out. Unrealized gains, open positions, and unspent capital are not withdrawable.

Tokens the desk acquires for you may be delivered to a wallet you name, at the desk's discretion as to timing and method. Withdrawal requests are processed by the desk; the desk may set minimums, batch payouts, and require a destination address that belongs to you.

4. Risk, and no promises

Digital assets are volatile and can lose their entire value. Token launches, thin liquidity, smart-contract bugs, chain outages, and counterparty failures can all result in total loss. The desk makes no promise of profit, of any particular outcome, or of the availability of any market, service, or chain.

Nothing the desk says or shows you is investment, legal, or tax advice. You are responsible for your own decisions and obligations.

5. Incidents are handled at the desk's discretion

If something goes wrong (including, without limitation, a hack, an exploit, a failed or reverted transaction, a stuck or lost transfer, an error by the desk or a third party, a chain or infrastructure failure, or a change in the law) the desk alone decides how to respond, including whether, when, how much, and in what form anything is returned to you.

The desk may pause, restrict, or close your account, halt trading, or delay payouts at any time and for any reason, including to respond to an incident.

6. Limitation of liability

To the fullest extent permitted by law, the desk, its operators, contractors, and affiliates are not liable to you for any loss of funds, tokens, profits, data, or opportunity, or for any indirect, incidental, special, consequential, or punitive damages, arising out of or related to the service, however caused, even if advised of the possibility.

Where liability cannot be excluded, it is limited to the realized proceeds shown as withdrawable on your dashboard at the time of the claim. You agree not to bring claims more than one year after the events giving rise to them.

7. Your representations

You represent that every deposit is your own money from a lawful source; that you are not acting for anyone else; that you are not located in, or a resident of, a jurisdiction where using this service is unlawful; and that you are not subject to sanctions.

Where the desk trades a token you deployed or control, you represent that you are entitled to do so and that you will comply with the rules of the launch platform and the law that applies to you.

8. Fees

The desk charges the fees shown on your dashboard on each transaction it books. Fees may change; changes apply to transactions booked after the change.

9. Changes, termination, and the rest

You accept these terms before your application reaches the desk: the desk only reviews accounts whose holder has signed them. The desk may change them, and you will be asked to accept the new version before your dashboard opens again; continued use is acceptance. This is version 2026-09-08.

Either side may end the relationship at any time. Ending it does not change what has already been booked; your withdrawable proceeds at that time remain payable at the desk's discretion as to timing and method.

If any part of these terms is unenforceable, the rest still applies. These terms are the whole agreement between you and the desk about the service.
